Tech due diligence, AI vendors included.
Who asks.
Investors about to join a round. Family offices writing a first cheque into technology. Acquirers and the lawyers and accountants who already run the legal and financial checks, and need someone for the technical one. And founders preparing for a raise, who want to know what the other side will find before it looks. Finance says how it goes for fintechs, digital asset companies and venture capital. The company you are looking at can be anything; we have usually already seen it in The world according to capital.
What we look at.
- What was built, and how much of it is theirs.
- Who built it, who can reach what, and who would leave with the founders.
- What breaks at scale, and what it costs to keep running.
- The vendors and AI tools it depends on, and what they can reach.
- The security: who holds the keys, where the sensitive information sits, whether the backups restore, what has already gone wrong.
- What it would take to run it without the founders.
What you get.
- A written verdict with every risk rated, yours to keep.
- A call to walk it through, with whoever is deciding in the room.
- The questions to put to the management team, in their words.
- Written for the deal team when it is an acquisition.
How it goes.
A conversation
What you are about to commit to, what you already know, and what would change your mind.
The check
We talk to the people, read the systems and the code, test what can be tested, and research the vendors.
The verdict
Written, every risk rated, and a call to walk it through.
After
If you go ahead, we can stay for the first months, or hand the findings to the team you bring in.
Questions.
How long does it take?
It depends on what you are buying. A seed round and a carve-out are different animals, so we scope it after the first conversation and tell you before we start.
Do you need access to the code?
It helps, and most companies grant it under NDA for a check like this. Without it we still have the systems, the people, the vendors and the history to read, and we say which parts of the verdict rest on what.
What if you also want to invest?
Then we tell you, before the work starts. We invest in companies we love, with our own capital, and a verdict you pay for is yours, whatever we decide to do ourselves.
